LDP Corporate Finance as Financial Advisor to Palingeo S.p.A. in its listing on Euronext Growth Milan
LDP Corporate Finance and a multidisciplinary team of professionals led by Monica Di Oronzo including Tommaso Ferraro, Vanessa Gagliano, Fabio Galliani, Lorenzo Corridoni, Alessandro De Sciscio, Fulvia Di Oronzo and Alessandra Zago, has assisted Palingeo S.p.A. as Financial Advisor in the listing of its shares on Euronext Growth Milan.
Davide Epicoco, lawyer, and Alessio Minelli, chartered accountant and auditor, are the promoters of the initiative and have overseen the listing process respectively as Strategic Advisor and CFO.
Palingeo S.p.A., a leading company in the Geotechnical and Geognostic sector, specializes in the construction of civil engineering works, infrastructure and ground consolidation works for foundation or excavation support.
The internal team at Palingeo S.p.A., involved in the operation, was led by founding partner Paolo Franzoni.
Through the IPO operation, entirely dedicated to capital increase, the total value of funds raised amounts to approximately 8.1 million euros, of which about 0.7 million euros come from the exercise of the greenshoe option. The Company’s post-listing free float will be 28.48% of the share capital (30.36% in the event of full exercise of the greenshoe option).
At the start of trading, the Company’s share capital will be €1,296,040, composed of 6,480,200 shares, without nominal value, including 5,197,700 ordinary shares and 1,282,500 multiple voting shares (granting 3 votes per share), the latter owned by F.L.S. Holding S.r.l. and not subject to trading.
The offering price has been set at €5.0 per share.
On February 14, 2024, the company received from Borsa Italiana S.p.A. the admission to listing of its ordinary shares on Euronext Growth Milan. The listing ceremony on the aforementioned market will take place on February 16.
Palingeo S.p.A. was also assisted by Integrae SIM as Euronext Growth Advisor, Global Coordinator, Sole Bookrunner and Specialist, by LCA Studio Legale as Legal Advisor, by WPartners S.r.l as Audit Firm, by PMI Revisioni S.r.l as tax advisor, and by Mr. Enrico Buson as Payroll consultant.
